These General Terms Of Use (“Terms”) shall apply between WALKANOW INTERNATIONAL LLC, a company incorporated under the laws of Bulgaria with headquarters at 12, Professor Tsani Kalyandzhiev, city of Varna in Bulgaria, registered into the Trade Register with ID Nr /EIK/ 204841675 (“We”) and users (“You”) with respect to any sale of the products (“Product”), listed  on our online shop (“eShop”) trough the web site www.florainternational.eu

PLEASE READ CAREFULLY THESE TERMS OF USE. BY ACCESSING, VIEWING, REGISTERING OR USING IN ANY MANNER THIS WEBSITE AND/OR THE SERVICES AND RESOURCES OF WALKANOW INTERNATIONAL LLC, YOU CONFIRM THAT YOU HAVE BEEN AWARE OF AND ACCEPT UNCONDITIONALLY TO BE BOUND BY THESE TERMS, INCLUDING THE PRIVACY POLICY AND OTHER TERMS AND REGULATIONS OF WALKANOW INTERNATIONAL LLC IN WRITING, PUBLISHED ON THIS WEBSITE. 1. Validity and scope

1.1. These Terms shall be considered a legal agreement, which is binding for WALKANOW INTERNATIONAL LLC and you and govern the use of this website and the services rendered.

1.2. The use of the website and eShop is also regulated by our Privacy Policy and any other terms and rules, published on the website, including all amendments and updates thereto, which are mandatory and binding as these Terms. By accepting these Terms you agree to get informed about the amendments and if you continue to use the website and eShop once the new version of the Terms becomes effective, then it will be considered that it has agreed with the latest published version of the Terms.

1.3. The acceptance and the consent with these Terms is a must for use of the website and placing orders via eShop. Any use of this website, the services or the content in any way, limited or unlimited, shall mean that the user agrees with and is bound by these Terms, with all rights, obligations and legal consequences resulting therefrom.

1.4. These Terms are intended for orders and deliveries within the area of the European Union and also apply however to orders from outside the EU and for deliveries to countries outside the EU insofar as their contents are applicable and not otherwise agreed.

2. Access

2.1. You must be the minimum age required to enter into a contract in the area in which you reside. Furthermore, you declare that if you are underage in the jurisdiction of the territory in which you reside or according to the applicable national law, you have obtained consent of your parents or legal guardian to use the website and make orders via eShop and that the parent/legal guardian has become acquainted with and has agreed with these Terms.

2.2. We administer and control the website and the eShop from Republic of Bulgaria and do not give any guarantees that the website and the services are appropriate or accessible on other places worldwide. Users, who access the website from other territories, shall make it on their own initiative and at their risk and shall be responsible for their actions according to the law of the relevant jurisdictions in compliance with all applicable local legislation.

2.3. Both registered and unregistered users may place an order in the eShop. When you create an user account, you are responsible for maintaining the confidentiality of your account and password and for restricting access to your profile. You agree to accept responsibility for all activities that occur under your account or password, including but not limited to any unauthorized third party access to your account resulting from theft or misappropriation of your user data. You shall notify us immediately of any unauthorized use of your password or account.

3. Products

3.1. The purchase order creates obligation for user to pay for the product’s price.  Before confirming your order, you will receive all the information about the final price of order.

3.2. We have made every effort to display as accurately as possible the colors and images of our products that appear at the eShop, but we cannot guarantee that these images are completely identical with the colors and appearance of the products. All photographs and illustrations used in the eShop are intended to give you a general idea about the type and main characteristics of products. Additional product information is available in the description for each product. All descriptions of products or product pricing are subject to change at anytime without notice, at the sole discretion of us.

3.3. A Flora International Roses arrangements perfectly captures the essence and aesthetic beauty of fresh flowers with the carefree indulgent pleasure one expects of a luxury item. Fresh, gorgeous flowers for more than two years with no need to water, change out vases, or deal with withered, wilted petals – all you have to do is keep the arrangement within room temperature and away from direct sunlight and you will have an exquisite arrangement that exudes longevity, elegance, and beauty.

 

Prices do not include delivery charge or insurance costs. These will be detailed at the time of order and may vary according to the level of service required.

We reserve the right to charge extra for an unusual delivery requirements or different locations.

Prices will be calculated automatically when at the check out. This may not mean a reduction in price depending on the country and shipping costs. Your shopping basket on the payment screen will reflect the overall cost to you with VAT charged.

Unless otherwise agreed prices will be those stated by us, on date of invoice, prior to despatch. No claims of any type or reductions after despatch will be entered into.

All prices and price lists in relation to your account are strictly confidential and must not be disclosed to any third parties. Prices are subject to change without prior notice and change and will be reviewed at least once per year.

The images on our website are used to provide an image of how our products look like. Since we are using natural preserved flowers, there might be slight differences in colour or size of the rose.

4. Prices

4.1. Prices of products in the eShop are in Euros (EUR), including VAT. The delivery costs ARE NOT included. Product prices are valid until the date indicated in the eShop or until subsequent change. Prices do not include insurance costs. The delivery costs will be detailed at the time of order and may vary according to the level of service required. We reserve the right to charge extra for an unusual delivery requirements or different locations. Prices will be calculated automatically when at the check out. 4.3. For international delivery of orders, your order may be subject to the customs fees and import duties of the country to which you have your order shipped. These charges, including the cost of delivery at the expense of the user. WALKANOW INTERNATIONAL LLC shall not be liable for any taxes, duties and/or other fees, incurred upon delivery of products, including amounts charged by customs authorities or local couriers companies. Customs policies vary widely from country to country and you should contact your local customs office for further information.

5. Placing orders. Distance selling agreement.

5.1. Orders shall be made in writing, online, by telephone or by email. When we receive an order we have the right to assume the order is correct and accurate, no confirmation of order is either requested, necessary or waited on. When you have completed your order you will be sent an e-mail confirming your order. It will state what the products/services are, the cost, delivery and invoice details. If your order has been unsuccessful you will be made aware of the reason why and any possible explanations. Each party shall be responsible for any errors in its messaging or ordering.

5.2. The products are not sold on a sale or return or exchange basis. If ordering for a specific date of consumption please choose a date first. Products may only be returned upon the suppliers written approval, in their original packaging and condition, within date with carriage paid. Any perishable items or foodstuffs are excluded from return.

5.3. Placing an order through the eShop signifies that you agree to be  a part of distance selling agreement, governed by the Bulgarian Consumer Protection Act.

5.4. Each order sent by you is subject to explicit acceptance and approval for execution on our part. Our contract for distance selling shall come into force from the moment of receiving a confirmation that your order is accepted for execution and  prepared for dispatch.

5.5. We reserve the right not to accept an order for any reason at our sole discretion. Such reason may be due to difficulties with delivery to your region or inability to obtain authorization for your payment or when the ordered product is out of stock, or is withdrawn or for any other reason.

6. Payment

6.1. You can pay for Products purchased from https://florainternational.eu by using any of the following debit cards: Visa, Mastercard and PayPal.

6.2. You must give us authority for payment at the time of order and all card holders will be subject to validation checks and authorisation by the card issuer.

6.3. We will not deliver any Products prior to these checks and authorisations being completed. If your card issuer refuses to authorise payment to us, we cannot accept your order, and will not be liable for any delay or non-delivery.

6.4. Payments may be made by way of a bank transfer which is the preferred option for corporate and / or third party delivery orders. Attempts to purchase which are returned as having failed payment service provider fraud reviews may result in details of delivery and IP address details being given to the Online fraud office of the Police.

6.5. The bank fees and commissions required on transactions in payments are not included in the price of products and shall be borne by you.

 

7. Delivery

7.1. Exceptionally, due to the reasons beyond our control, the deadline for delivery may be extended. For any possible delay in performance of your order we shall contact you by email or by phone call from our operator.

7.2. Our third party Couriers will endeavour to deliver or arrange delivery without undue delay of the goods in the quantities ordered to the address requested when specified.

7.3. We shall not be liable for any delay to deliveries of orders awaiting notification from customers due to issues with their order, late delivery, non-delivery or variation in quantities delivered and in particular shall be entitled to adjust quantities delivered to you where insufficient stock is available to complete or order.

7.4. We not be liable for any direct, indirect or consequential loss (all three of which terms include, without limitation, pure economic loss, loss of profits, loss of business, depletion of goodwill and similar loss), costs, damages, charges or expenses caused directly or indirectly by any delay in the delivery of the Goods.

7.5. If circumstances occur which do not allow the delivery to occur within the delivery service requested due only to the fault / delay of the courier, ie a ‘mis-delivery’, we will refund the difference of the value of the service not provided for. ie an Express service not carried out within the promised time frame will result in a refund to the value of a standard service charge.

7.6. Where specific courier instructions are given e.g. leave in porch, round the back etc, we will not be held responsible or liable for goods not being received where our couriers or other couriers have a POD (proof of delivery), or inform us that the ‘goods were left as instructed’. You are therefore obliged to ensure that any specific courier instructions given are correct, and that the information provided ensures a safe and accurate delivery. With any ‘signature optional’ or ‘leave safe’ delivery your rights to claim damage, missing items and non delivery are waived.

7.7. If the courier attempts delivery at the delivery address as specified in the order but is unable to deliver the item to the specified address, the courier will retain the item/s. A calling card will be left where possible with a Customer Services telephone number for you to call in order to arrange re-delivery. Please note that the courier company can only arrange a specific re-delivery date, and cannot arrange a specific re-delivery time.

7.8. Please make sure you are available to take delivery of your order at the delivery address as your goods are sent on a “signed for” service. If you are not available at the address to receive the delivery, a Courier Card may be left card directing you to your nearest depot where you may collect your goods. Please note after a period set by the courier (usually 5 days) non-collection of the goods will result in the items being returned to Flora International.

7.9. Risk, loss or damage in the goods/products shall pass to the customer on delivery. Ownership of the goods/products remains with us until such time as payment has been received in full by us.

7.10. Amendments to address delivery address details once your order has been processed by us and received by the Courier may not be possible. Any amendments to delivery address may be attempted by the Customer direct with the Courier but is not guaranteed due to security of goods measures ad may hold an additional charge due to redirection of goods.

8. 8. Cancellation/Refunds

8.1. Orders cannot be cancelled once Flora International has begun processing the order. In order to promptly deliver our arrangements as fresh as possible, the processing of an order commences almost immediately once you have submitted your order. However, should you wish to change or cancel your order, you are welcome to call us to check whether the processing of an order has commenced, and if it has not we may be able to accommodate your request to cancel and will do our best to meet your needs. Any changes to or  cancellation of an order can only be made with Flora International’s prior written approval and additional charges may apply. Any agreement by Flora International to accommodate a cancellation request will be conditioned upon payment of any and all costs, charges and expenses already incurred by Flora International to that point, and you agree that such amounts may be deducted from any payments previously made to Flora International. During routine website maintenance, any pricing issues may not be honored and orders may be cancelled and refunded when improper rates are applied.

9. 9. Social Media Policy

9.1. Flora International engages in the use social media for our customers who enjoy using these channels. Should you wish to contact the company regarding any orders or any product enquiries or require contact with customer services please contact us either via telephone or email for as there may be delays on any enquiries posted on social media as these are used primarily as marketing information channels. Please note Flora International social media is monitored. Any comments or posts should be within the recommended guidelines of that social media channel and EU Law. Any comments or posts that are inappropriate, slanderous or abusive, either directed at other customers, other social media users, Flora International and/or its staff or agents thereof or not, will be recorded and may result in legal proceedings.

10. Availability

10.1. If for any reason beyond our control, we are unable to supply a particular product, we will notify you as soon as possible. Goods are available on a first come, first served basis and we are not liable if we are unable to supply a particular product. You will not be charged should stocks become exhausted and will be notified within 24 hours where possible of such and offered an alternative choice. Should you have been charged already, a refund for the part not in stock shall be applied.

11. Prohibited use

11.1. The users shall not perform any of the following activities: copying, adapting, modification, creation of derivatives of the software of the services and the website, including but not limited to Flash, PHP, HTML, JavaScript, Java Applets or any other code and/ or program resources; bypassing, removing, manipulating of any elements of the security features and the implemented measures and technical means for protection of the services and the website from unauthorized access, hackers and other destructive, ill-intentioned attacks and destruction actions including but not limited to any actions, which aim to or result in blocking the access to the services and/or the website, loading and distribution of illegal content, destruction entirely or partially the functionality of the services and the website, theft and loss of data from the services and the website and the content.

11.2. We reserve the right to block, either entirely or partially, the access of any user to the eShop and to the website in case of breach by the user of the Terms, Privacy Policy and other rules, representing inseparable part of these Terms and in case of performance, attempt to perform or actual threat to perform by the user or by any individual using his/her account and for any illegal actions or actions that threaten the security and the availability of the services and/or the website or affect the legal interests of  WALKANOW INTERNATIONAL LLC or its partners, counterparties and other related parties or for any other significant public interest.

12. Intellectual property

12.1. The eShop and the website contain images, signs, graphic  logos, pictures, drawings, schemes, graphics, trademark logos, databases and software, which are property of or are licensed by WALKANOW INTERNATIONAL LLC and are protected by the Bulgarian, European and other applicable law and conventions on copyrights and other intellectual property rights.

12.2. The reproduction of the services, the website and/or any element thereof which are subject to intellectual property rights may be done only with the consent in writing of WALKANOW INTERNATIONAL LLC and/ or its licensors. The use of the services and the website does not grant to users any rights on the objects of Intellectual Property or any part thereof.

12.3. We have no obligation to monitor the presence or absence of copyrights and other intellectual property rights over the content of external sources which are accessible through the website via hyperlinks and links. All liability for intellectual property rights of the content of external sources of the website  is the sole responsibility of individuals or entities involved in publishing the respective content.

13.Data privacy

As administrator of personal data, we act in compliance with applicable Bulgarian laws on data protection.  For security reasons, we are sending personal data and information only to the email addresses specified by you in the registration form or for purchase. By using the website and accepting these Terms, you are expressing your consent to process your personal data in accordance with our Privacy Policy, accessible at https://florainternational.eu

14. Applicable law. Disputes

13.1. Any disputes connected with the use of the website, eShop and other resources, which may not be resolved by way of negotiations and mutual consent, shall be referred to the competent Bulgarian court. The provisions of the effective law of Republic of Bulgaria shall apply to all matters unsettled herein.

 

15. Alternative dispute resolution

In disputes between the supplier and consumer regarding liabilities arising out of contracts for online sales when can not be reached agreement, the user can refer the dispute to the authorities Alternative Dispute Resolution (ADR) under the terms and conditions of Art.181a of the Consumer protection act.
